Please read this VIA SOFTWARE LICENSE AGREEMENT (“Agreement”) carefully before you downloading, installing, or using any software program you are currently trying to download install, or use, and all related updates supplied by VIA Technologies, Inc. (“VIA SOFTWARE”).
This Agreement is a legally binding contract between yourself (as the entity or individual) and the company VIA Technologies, Inc. and its subsidiaries (“VIA”) for VIA SOFTWARE.
By installing the VIA SOFTWARE, you agree that any use of the VIA SOFTWARE is subject to the terms and conditions of this Agreement. If you do not agree with the conditions of this Agreement, you are not entitled to install or use the VIA SOFTWARE. Should this be the case, you may return the VIA SOFTWARE to the place where you obtained it and IF THE VIA SOFTWARE WAS ACCESSED ELECTRONICALLY, CLICK "DISAGREE/DECLINE".
1. Use of Software. For the duration of this Agreement, VIA hereby grants to you a limited, non-exclusive, non-transferable, worldwide license to use the VIA SOFTWARE. The VIA SOFTWARE is licensed for personal use and may only be used in conjunction with VIA products. Customer may install and use one copy of the VIA SOFTWARE on a single computer, and except for making one back-up copy of the Software, may not otherwise copy the VIA SOFTWARE. This LICENSE of VIA SOFTWARE may not be shared or used concurrently on different computers. Except as permitted under this Agreement, any use or modification of the VIA Software not authorized in advance and in writing by VIA shall constitute a material breach and shall cause the Agreement and any amendment to immediately terminate as of the date of such material breach. If you wish to use the VIA SOFTWARE for commercial or any other purpose, please contact VIA directly.
2. Restrictions. You are not allowed to modify, disassemble, decompile, or reverse-engineering the VIA SOFTWARE, or remove any proprietary notice or label on the VIA SOFTWARE. You may not transfer or distribute this software to any third party.
THE VIA SOFTWARE MAY BE USED TO REPRODUCE MATERIALS. IT IS LICENSED TO YOU ONLY FOR REPRODUCTION OF NONCOPYRIGHTED MATERIALS, MATERIALS IN WHICH YOU OWN THE COPYRIGHT, OR MATERIALS YOU ARE AUTHORIZED OR LEGALLY PERMITTED TO REPRODUCE. THE VIA SOFTWARE MAY ALSO BE USED FOR REMOTE ACCESS TO MUSIC FILES FOR LISTENING BETWEEN COMPUTERS. REMOTE ACCESS OF COPYRIGHTED MUSIC IS ONLY PROVIDED FOR LAWFUL PERSONAL USE OR AS OTHERWISE LEGALLY PERMITTED. IF YOU ARE UNCERTAIN ABOUT YOUR RIGHT TO COPY OR PERMIT ACCESS TO ANY MATERIAL YOU SHOULD CONTACT YOUR LEGAL ADVISOR.
3. Ownership and Copyrights. The VIA SOFTWARE is protected by copyright laws and international copyright contracts as well as other laws and agreements concerning intellectual property. All title and copyrights in and to the VIA SOFTWARE (including but not limited to all images, photographs, animations, video, audio, music, text, and other information incorporated into the VIA SOFTWARE), the accompanying printed materials, and any copies of the VIA SOFTWARE, are owned by VIA, or its third party suppliers. The VIA SOFTWARE is protected by copyright laws and international treaty provisions.
4. Open Source Software Exception. Notwithstanding the foregoing terms of Section 1 to 3, any Open Source Software delivered by VIA to you shall be licensed to you under the terms and conditions of the respective licenses, including but not limited to GPL, MIT, and BSD. Please review and learn from the License file, or the notice in the header of VIA SOFTWARE files for the license information.
5. Disclaimer of Warranty. VIA MAKES NO REPRESENTATIONS ABOUT THE SUITABILITY, USE, OR PERFORMANCE OF THE VIA SOFTWARE FOR ANY PURPOSE. THE VIA SOFTWARE IS PROVIDED "AS IS," AND VIA DISCLAIMS, TO THE MAXIMUM EXTENT ALLOWED BY APPLICABLE LAW, ALL EXPRESS OR IMPLIED WARRANTIES INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT WITH RESPECT TO THE VIA SOFTWARE. VIA IS NOT OBLIGATED TO SUPPORT OR ISSUE UPDATES TO THE VIA SOFTWARE.
6. Limitation on Liability. TO THE MAXIMUM EXTENT ALLOWED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES SHALL VIA BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER ECONOMIC LOSS OR COMMERCIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THIS VIA SOFTWARE, EVEN IF VIA HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES.
7. Export Controls. You agree that the VIA Software will not be shipped, transferred, or exported into any country or used in any manner prohibited by the United States Bureau of Export Administration Act or any other applicable export laws, restrictions, or regulations.
8. Termination. Your license will automatically terminate without notice from VIA upon any failure by you to comply with the terms under this Agreement. Upon termination, you must cease all use of the VIA SOFTWARE and destroy the VIA SOFTWARE along with all copies and merged portions in any form.
9. Applicable Law. This agreement shall be deemed to have been made in, and shall be construed pursuant to, the laws of the Republic of China.
10. Miscellaneous. This agreement is the final, complete and exclusive agreement between the parties relating to the subject matter hereof, and supersedes all prior or contemporaneous understandings and agreements relating to such subject matter, whether oral or written. This LICENSE may only be modified in writing signed by an authorized officer of VIA.
